Terms of Service

1. Acceptance of Terms

By accessing or using the TrustedProvider platform, including our mobile application, provider web application, and website at trustedprovider.app (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

TrustedProvider LLC ("TrustedProvider," "we," "us," or "our") is a Texas limited liability company that operates a marketplace connecting residents of master-planned communities with vetted local service providers.

2. The Platform

TrustedProvider is a marketplace platform. We connect residents who need services with independent service providers who perform those services. Important distinctions:

• We are not the service provider. TrustedProvider does not perform any home services. Service providers are independent contractors, not employees of TrustedProvider.
• We facilitate, not guarantee. While we vet providers for quality and credentials, we do not guarantee the outcome of any specific job. We provide a dispute resolution process for issues.
• Fixed pricing. Service prices are set by TrustedProvider based on service type and property configuration. Providers accept jobs at the listed price.

3. User Accounts

Residents

To book services, you must create an account through our mobile application using Apple or Google sign-in. You must provide accurate information about your identity and property. You are responsible for maintaining the security of your account credentials.

Service Providers

Provider accounts are created by invitation only. To become a provider, you must meet our vetting requirements including valid business licensing, insurance, and a background check. Providers access the platform through a web application and may opt in to receive SMS job dispatch alerts (see our SMS Terms).

4. Booking & Payment

• Pricing: All service prices are displayed upfront and are fixed at the time of booking. Prices include the service fee and any applicable TrustedProvider platform fees.
• Payment: Payment is collected at the time of booking and held until the job is completed and approved. We use Stripe to process all payments securely.
• Approval: After a provider marks a job as complete (with photo verification), TrustedProvider reviews and approves the work. Upon approval, payment is released to the provider.
• Disputes: If you are not satisfied with the completed work, you may flag the job for dispute. TrustedProvider will review the dispute and facilitate a resolution, which may include a partial or full refund.
• Cancellations: Cancellation policies vary by service type and timing. Cancellation terms are displayed at the time of booking.

5. Community Eligibility

TrustedProvider services are available only within supported master-planned communities. By using the Platform, you represent that you are a resident of a supported community. We verify community eligibility using address validation and may request additional verification.

6. Provider Responsibilities

Service providers agree to:

• Maintain valid and current business licenses and insurance as required by Texas law.
• Perform services professionally and in accordance with the job specifications.
• Provide accurate photo documentation of completed work.
• Respond to job dispatch alerts in a timely manner.
• Comply with all applicable local, state, and federal laws and regulations.

TrustedProvider reserves the right to suspend or remove any provider who fails to meet our quality standards or violates these Terms.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose.
• Provide false or misleading information in your account or bookings.
• Circumvent the Platform to arrange services directly with providers or residents, bypassing TrustedProvider's payment and dispute systems.
• Harass, abuse, or threaten other users of the Platform.
• Attempt to access accounts, systems, or data that you are not authorized to access.
• Scrape, crawl, or otherwise extract data from the Platform without written permission.

8. Intellectual Property

The TrustedProvider name, logo, website design, mobile application, and all related content are the property of TrustedProvider LLC. You may not copy, modify, distribute, or create derivative works from our materials without written permission.

9. Limitation of Liability

To the maximum extent permitted by Texas law:

• TrustedProvider provides the Platform "as is" without warranties of any kind, express or implied.
• We are not liable for any damages arising from services performed by independent providers, including property damage, personal injury, or economic loss.
• Our total liability for any claim related to the Platform shall not exceed the amount you paid to TrustedProvider in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless TrustedProvider LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Platform shall be resolved through binding arbitration in Harris County, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason with reasonable notice. You may close your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Provisions regarding liability, indemnification, and dispute resolution survive termination.

13. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes via the Platform or by email. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
